By accessing or using the Site, submitting a form, requesting a consultation, scheduling or purchasing Services, communicating with us, or otherwise engaging with Pitcan Analytics, you agree to be bound by these Terms.

2. Eligibility and Minors
You must be legally capable of entering into a binding agreement to independently purchase or engage Pitcan Analytics for Services.
Certain tutoring or educational Services may be provided to individuals under the age of 18 when arranged, authorized, or supervised by a parent or legal guardian.
If you are a parent or legal guardian arranging Services for a minor, you represent that you have the legal authority to do so and agree to be responsible for communications, agreements, and obligations associated with those Services.
Participation in our SMS or text-message program is restricted to individuals who are 18 years of age or older. A parent or legal guardian should provide their own contact information when arranging Services for a minor.

Specific deliverables, timelines, pricing, project requirements, and other engagement terms may be established separately through a proposal, invoice, booking process, statement of work, email agreement, or other written agreement.
Where a separate written agreement applies to a particular engagement, that agreement will control with respect to the specific Services covered by it if there is a conflict with these Terms.

4. Consultations and Scheduling
Pitcan Analytics may offer consultations or other scheduled interactions in connection with its Services.
You are responsible for providing accurate contact and scheduling information when requesting or arranging a consultation or other Service.
Any specific scheduling, rescheduling, cancellation, payment, or refund conditions presented to you during a booking process, proposal, invoice, or individual engagement will apply to that engagement.
These Terms do not create a general cancellation or refund policy where no such policy has otherwise been communicated to you.
5. Client Responsibilities
When using the Services, you agree to provide information that is reasonably accurate and complete.
For consulting or analytics engagements, you are responsible for ensuring that you have the right and authority to provide any data, documents, datasets, files, credentials, or other materials you provide to Pitcan Analytics.
You must not provide information or data that you are prohibited from sharing by law, contract, confidentiality obligation, intellectual property restriction, privacy requirement, or other legal obligation.
You are also responsible for reviewing analytical results, recommendations, models, reports, or other deliverables before relying on them for material academic, financial, operational, technical, or business decisions.
6. No Guarantee of Results
Pitcan Analytics provides professional expertise, analysis, instruction, recommendations, and related Services based on available information and the scope of the applicable engagement.
Results depend on numerous factors outside our control.
For tutoring and educational Services, we do not guarantee any particular:
Grade or academic result
Examination score
Course outcome
Admission decision
Employment result
Academic improvement within a particular period
For analytics, data science, or machine learning consulting, we do not guarantee any particular:
Revenue increase
Cost reduction
Business result
Model performance
Forecast accuracy
Conversion improvement
Operational outcome
Investment result
Commercial result
Past performance, examples, case studies, testimonials, estimates, projections, or illustrative results do not constitute a promise or guarantee of future results.
7. Professional and Analytical Disclaimer
Information, models, analyses, reports, recommendations, predictions, forecasts, and other materials provided through the Services are intended to assist with analysis and decision-making.

11. Client Materials and Data
You retain any ownership rights you have in data, documents, files, information, or other materials that you provide to Pitcan Analytics.
You grant Pitcan Analytics a limited right to access, process, analyze, reproduce, and otherwise use those materials as reasonably necessary to provide the requested Services.
You represent that you have all necessary rights, permissions, and lawful authority to provide such materials to us.
Unless separately authorized, providing materials to Pitcan Analytics does not grant us ownership of those materials.

Age Requirement
The Pitcan Analytics SMS program is intended only for individuals who are 18 years of age or older.

15. Disclaimer of Warranties

This includes, without limitation, damages for:
Lost profits
Lost revenue
Lost business opportunities
Lost or corrupted data
Business interruption
Academic outcomes
Decisions made based on analytical results
Third-party claims
To the fullest extent permitted by applicable law, the total aggregate liability of Pitcan Analytics for claims arising from a particular paid Service will not exceed the amount actually paid by you to Pitcan Analytics for the specific Service giving rise to the claim during the three months immediately preceding the event giving rise to the claim.
For claims relating solely to use of the free portions of the Site, our aggregate liability will not exceed $100.
Some jurisdictions do not permit certain limitations of liability. In those jurisdictions, these limitations apply only to the maximum extent permitted by applicable law.
17. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Pitcan Analytics LLC and its owners, members, managers, employees, contractors, representatives, and agents from claims, damages, losses, liabilities, judgments, costs, and reasonable attorneys' fees arising out of or relating to:

Your violation of these Terms
Your violation of applicable law
Your infringement of another person's rights
Data, documents, or materials you provide without appropriate authorization
Fraudulent, unlawful, or unauthorized conduct connected with your use of the Services
This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.
18. Suspension and Termination

Unlawful or abusive activity
A security concern
Failure to satisfy obligations under a separate engagement agreement
Conduct that materially interferes with our ability to provide the Services
Termination does not affect rights or obligations that arose before termination.
Sections that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute provisions, will continue to apply.
19. Governing Law and Dispute Resolution
These Terms and any dispute arising from them or from your use of the Site or Services will be governed by the laws of the State of California, without regard to its conflict-of-law principles.
Before commencing formal legal proceedings, you and Pitcan Analytics agree to make a reasonable good-faith effort to resolve the dispute informally.
If informal resolution is unsuccessful, any legal proceeding relating to these Terms or the Services will be brought in a court of competent jurisdiction in the State of California, except where applicable law requires otherwise.
Nothing in this section prevents either party from seeking appropriate injunctive or equitable relief where legally available.
20. Changes to These Terms
We may update these Terms from time to time to reflect changes in our Services, operations, legal requirements, or business practices.
When these Terms are updated, the revised version will be posted with an updated “Last Updated” date.
Your continued use of the Site or Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by law.
Material changes will not retroactively alter rights or obligations where prohibited by applicable law.

Pitcan Analytics may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or other lawful business transaction.
24. Entire Agreement
These Terms, together with any Privacy Policy and any applicable proposal, statement of work, invoice, engagement agreement, or other written terms agreed between you and Pitcan Analytics, constitute the agreement governing your use of the applicable Site and Services.
If separate written terms expressly apply to a particular engagement and conflict with these Terms, the specific written engagement terms will control with respect to that engagement.
